Having provided the background for this study, there is need also to point out the paper is developed to carry out an efficient overview of the concept of nonprofit governance and at the end; a conclusion will be developed, to sum up, the ideas of the study.



The Role of the Board



After providing a background for the study by pointing out the meaning of the concept of nonprofit governance, there is need to point out that an effective medium of understanding the dictates of this notion is by looking at the functions provided by leaders operating in this form of institutions. The leaders of these agencies are responsible for some functions. These duties include the development of a general direction of the organization; it also involved the development of policies and principles that act as a guide for the acceptable conduct of members of such organization. It is important to note the above function are always reserved for the board of directors in such institutions hence these group of professionals are expected to act as direct oversight responsibility for evaluating organizational performance in accordance to the set targets by the organization, ( Andersson, " Edenfield, 2017).



Legitimate Functions of Those in Governance



There are specific legal functions associated with individual cooperating in nonprofit governance. Members of staff and volunteers may be privileged to make or take particular decisions in a bid to attain organizational goals and objectives. However, there is need to note that it is the exclusive responsibility of the board of director to cater for the overall health and success of the organization, (Gazley " Nicholson-Crotty, 2017). Hence upon the acceptance of this role member of the board of directors are legally expected to perform three cardinal functions which are



The Duty of Care:



The above concept is one of the most prominent features of the member of the board of these institutions, and this requires that decisions and action are taken with a high level of reasonability and objectivity. It is important to mention that under this duty of care, it is excepted that all board members act in the best interest of the organization and making effects to ensure that all decision made is based on adequate research and inquiry process. In conclusion, this duty also expects that board members actively participate in all the affairs of the board, (Jaskyte, 2017).



Duty of Loyalty



The duty of loyalty is also an essential aspect of the legal function of the members of the board of such organization, and this feature requires that all members of board act in the best interest of the organization. It is expected that member of the board will only engage in activities that will; be of direct benefit to the organization and the must also refrain from actions and decisions that will result in conflict in such corporation, (Jaskyte, 2017).



Duty of Obedience



The duty of Obedience is regarded as the last function of the member of the board of director of nonprofit governance institution. However this role is also crucial and must be adhered to at all times; the function demands the adherence to the policies, mission, and bylaws of the nonprofit organization. The role also opines that any other rules and regulation promulgated by the institution must be adhered to by its board of directors in a bid to attain organizational goals and objectives, (Jaskyte, 2017).

Governance is an essential aspect of every institution the above notion is based on the fact that governance produces the required leadership for the attainment of the goal and objectives of the firms. Hence irrespective of profit orientation of such organizations, governance plays a curial role. It is important to note that this study was based on an in-depth overview of the nonprofit management. Hence the study discovered that it is function required to provide specific strategic direction for an organization. It is the proper coordination of efforts in a bid to attain the mission of such corporation. Hence prominent members of the organizations are expected to carry out cogent functions and abide by clear rules in an attempt to achieve organizational objectives.
